1. Agreement and activation
These terms apply between KAAL GROUP LIMITED trading as Five Star Growth (“FiveStar”), of 27 Te Pihopa Way, Aidanfield, Christchurch 8025, and the business identified in the onboarding form or signed merchant agreement (“Merchant”). The selected plan, approved locations and any separately agreed written quote form part of the agreement. Separately confirmed lifetime entitlements remain protected.
For a recurring monthly or annual plan, service and billing begin after the business email is verified and Stripe confirms the first subscription payment. That confirmation may activate the account automatically and send dashboard access by email. A manually arranged account starts when FiveStar confirms activation and its payment arrangement. Manual invoices are due within 7 days unless otherwise agreed in writing.
2. Plans, fees and changes
FiveStar hosts the Merchant’s loyalty programme, records, digital Wallet passes, checkout, review prompts and included customer-engagement tools. Each base plan covers one approved physical location. Monthly prices are NZ$39 for Starter, NZ$69 for FiveStar Loyalty and NZ$89 for FiveStar Campaign, excluding GST. GST is added only where legally chargeable. Starter has a NZ$49 one-off setup fee, excluding GST, arranged separately; Loyalty and Campaign have no setup fee. Monthly subscriptions renew until cancelled.
Starter and Loyalty include one reward tier and respectively one and two checkout devices. Campaign includes multiple reward tiers, three checkout devices and 2,000 emails per branch per month shared across its campaign and referral tools. Loyalty and Campaign include a manual text Wallet notification every 24 hours. Campaign also includes automatic inactive-customer reminders and Wallet picture notifications with a custom message. Text and picture notifications share the same 24-hour sending limit; appearance, alerts and refresh timing depend on the customer’s Wallet and device settings.
Extra checkout devices cost NZ$10 each per month. Each extra 2,000-email block costs NZ$10 per month and requires Campaign, or Loyalty with the Refer-a-friend add-on. The optional Refer-a-friend add-on costs NZ$29 per month, charged once per merchant account for all approved branches, and requires Loyalty or Campaign. Loyalty with this add-on includes 2,000 referral emails per branch per month. Online Gift Vouchers is a separate optional add-on for Loyalty or Campaign at NZ$29 per month, charged once per merchant account for all approved branches. These extra prices exclude GST; extras remain monthly charges for separately agreed lifetime accounts too.
Extra charges need the Merchant’s consent. Agreed discounts and grandfathered prices apply as recorded in writing or in the accepted Stripe Checkout offer. Promotional discounts do not apply to manually arranged one-off payments unless agreed in writing. Monthly price increases require at least 30 days’ notice and the Merchant may cancel before they apply. FiveStar will give reasonable advance notice of material service changes where practicable. Changes cannot remove an agreed lifetime entitlement or introduce a recurring charge for base access already paid in full.
2A. Full Launch Offer
The FiveStar Full Launch Offer is available for new annual subscriptions started by 15 November 2026, New Zealand time. It includes Campaign, Refer a Friend and Online Gift Vouchers for NZ$1,176 plus GST per year, charged upfront. This equals eight monthly payments of NZ$147, saving NZ$588 (33%, rounded) compared with twelve monthly payments. One location is included; each additional approved location is NZ$232 plus GST per year. Optional extra checkout devices and 2,000-email blocks cost NZ$10 plus GST each per month, billed in a separate monthly subscription. Previously prepaid capacity remains available through its paid period and starts monthly billing at the first capacity renewal on or after that period ends; it is never charged twice.
The agreed launch bundle and additional-location rates renew each year while the subscription remains active. Cancelling renewal retains access until the end of the paid year; allowing the subscription to end forfeits the launch rate for a later subscription. The annual bundle cannot be combined with promotion codes or the monthly customer-capture challenge. Existing customers can review an annual upgrade in Plans & add-ons. Only verified, unused cash-paid pack, referral, voucher and location time is deducted from the first annual charge. Setup, GST, capacity, refunds, promotional discounts and challenge rewards are excluded. Manual payment credit requires staff verification; alternatively, the merchant may reserve the offer and complete payment from their saved paid-through date. Annual activation ends any unfinished monthly challenge and forfeits unused challenge rewards. A switch to monthly takes effect after the paid year, with no charge or refund on scheduling; it can be undone before that date to keep the annual rate. Any change requiring extra payment needs the Merchant’s consent.
3. Approved locations
Loyalty and Campaign merchants may add approved branches for NZ$29 per month per additional location, excluding GST. Approved branches share the Merchant’s loyalty membership and rewards while retaining their own NFC or QR entry point, checkout devices, Google Review destination and location-specific communications. Starter does not support extra locations.
The Merchant must not deploy an unapproved branch using another location’s entry point or checkout access. FiveStar may use limited device, network and operational signals to review possible unapproved location use. A flag is not automatic proof of misuse. FiveStar will reasonably investigate and may ask the Merchant to clarify activity, correct the setup or add the relevant location. Any urgent restriction must be proportionate to a security or unlawful-use risk.
4. Cancellation and refunds
The Merchant may cancel its subscription at any time by using Cancel renewal in Plans & add-ons for an eligible Stripe-billed subscription, or by emailing hello@fivestargrowth.nz. Cancellation takes effect at the end of the current paid billing period. Access continues until that date, and the subscription will not renew. There is no fixed minimum term, notice-period charge or exit fee.
For self-service pack and add-on changes, the Merchant reviews the features, price and effective date before confirming. Upgrades and additions take effect after Stripe confirms any required payment; the price difference for the remaining billing period is shown before payment. Pack reductions and recurring add-on removals take effect at the next renewal, with current paid features retained until then. An eligible scheduled reduction or renewal cancellation may be undone before its effective date.
Except for the annual guarantee below, voluntary cancellation part-way through a paid billing period does not entitle the Merchant to a refund or credit for unused days. This also applies to recurring add-ons and extra locations included in that subscription.
This does not limit refunds or other remedies for billing errors, breach, non-delivery, misleading conduct, or rights that cannot lawfully be excluded. Any more favourable cancellation or refund rights in the Merchant’s previously accepted terms or separately signed agreement remain protected.
Voluntarily ending a separately agreed lifetime plan does not itself create a refund of its one-off fee. This does not limit remedies for breach, non-delivery, misleading conduct or any rights that cannot lawfully be excluded.
4A. Annual money-back guarantee
Your first annual Full Launch Offer purchase has a 30-day money-back guarantee. If you are not satisfied, contact FiveStar Growth within 30 days of that payment for a refund of the amount paid for the annual pack and locations, including the GST charged. No explanation is required. The guarantee applies once per merchant account and does not restart on renewal or a later purchase. Separately billed monthly extras are not covered. Promotional and challenge credits have no cash value. Refunded annual access ends when the refund is processed. This guarantee is additional to rights that cannot lawfully be excluded.
5. Existing lifetime agreements and product closure
Where FiveStar has separately confirmed a lifetime Campaign agreement in writing, it provides the agreed Campaign base access for one approved location without a recurring base-platform fee for as long as the FiveStar Loyalty product exists as an operating service. This means the product’s lifetime, not the lifetime of a person or business or a guaranteed number of years. The entitlement is non-transferable and paid extras remain separate. Public monthly onboarding does not offer or reserve a new lifetime place.
FiveStar will give at least 60 days’ notice of planned permanent product closure where reasonably possible and provide a reasonable opportunity to export records. Lifetime service ends on genuine permanent discontinuation. A rebrand, ownership change or routine version replacement alone does not end it while substantially the same product continues. Legal remedies for breach, non-delivery or misleading conduct remain available.
6. Merchant responsibilities and rewards
The Merchant must provide accurate business, location and Google Review information; protect devices and credentials; train authorised staff; and use FiveStar lawfully. Plan, location, device, consent and sending limits must not be bypassed. Google Review destinations are controlled by FiveStar after onboarding to reduce branch substitution and misleading review collection.
The Merchant sets and funds genuine rewards, confirms genuine purchases, and honours valid customer entitlements. Closing the account does not extinguish those obligations. FiveStar records balances and redemptions but does not supply the Merchant’s rewards. Corrections and undo controls must be used accurately. Rewards must not depend on leaving a review or on its rating.
Referral vouchers for both people are issued after the friend completes the staff-confirmed purchase qualification shown when they join; this may be any purchase, a minimum spend, or a minimum stamp count set by the Merchant. Online Gift Vouchers can be shared by link or QR with new or existing customers, subject to the Merchant’s New customers only setting. The Merchant sets each offer’s reward, voucher allocation, eligible branches, claims closing date and issued-voucher expiry. Claims close when the allocation or closing date is reached. An offer may be ended or revoked; already issued vouchers retain their promised branches and stated expiry unless separately revoked for a lawful reason.
7. Merchant Data and privacy rights
As between the parties, the Merchant retains all rights in its lawful business records, identifiable customer list, loyalty and transaction records, programme settings, content and branding (“Merchant Data”), to the extent those rights can legally exist. FiveStar claims no ownership of Merchant Data and manages it on the Merchant’s behalf. Personal information is not property that either party may freely own or sell; customers retain their rights under the Privacy Act 2020.
FiveStar processes identifiable Merchant Data on lawful instructions to operate, secure and support the Merchant’s programme, or as legally required. FiveStar does not sell it, share it with other merchants, or use it for unrelated marketing or public AI training. Authorised users may access only permitted merchant and branch information. FiveStar may create genuinely de-identified or aggregated service statistics and retain necessary billing, security and legal records for its lawful duties.
8. Consent and communications
Both parties must comply with applicable privacy and electronic-messaging requirements. The Merchant must provide required collection notices, including for imports and indirect collection, and retain evidence of lawful collection and consent. Promotional messages require valid merchant-specific consent, clear sender identity and a working unsubscribe facility. FiveStar provides consent and suppression controls; suppression must be honoured promptly and within legal time limits and must not be bypassed.
New promotional consent is unticked by default and separate from verification. Returning customers’ saved preferences are shown with an explicit option to change them; opening a link alone does not change consent. Customers may participate without promotional email. Requested verification, account and referral-voucher emails are transactional communications and do not enrol the recipient in marketing. The Privacy Policy explains these choices.
9. Security, providers and privacy incidents
FiveStar will maintain reasonable safeguards, including encrypted connections, merchant access separation, restricted staff access, protected credentials, security logs, patching and appropriate backups. People and contracted providers handling data must have confidentiality and suitable security duties. Technology providers may include Stripe, Vercel, Supabase, Resend, Google and Apple; necessary overseas processing is subject to required safeguards. Provider and location details are available on request. FiveStar will notify material provider changes in advance where practicable and address reasonable privacy objections. Complete security or uninterrupted availability cannot be guaranteed.
FiveStar will notify the Merchant without undue delay of a discovered privacy breach affecting its data, share available facts, contain and investigate the incident, and assist with remedies. FiveStar will promptly assist lawful access, correction and deletion requests. Each party retains its legal duties concerning notification to the Privacy Commissioner and affected people.
10. Customer-capture challenge
The annual launch offer is excluded. A monthly-plan Merchant’s one-time 30-day customer-capture challenge starts when its merchant account is created at signup. Only genuine new customer enrolments for that account during the first 30 consecutive days count; imported, demonstration and duplicate records do not count. The highest qualifying tier applies: 100 customers earns 50% off the next monthly base-plan fee, 200 earns one base-plan month free, and 300 earns two base-plan months free. Tiers do not stack. Final results remain visible for another 30 days.
For Stripe-billed accounts, FiveStar automatically schedules an earned discount against the next eligible base-plan renewal invoice after the challenge ends. Manually billed accounts are adjusted through their agreed billing arrangement. Add-ons and extra locations remain payable unless agreed otherwise in writing.
11. Suspension and material breach
Either party may terminate for a material breach not corrected within 10 working days of written notice. FiveStar may proportionately restrict service for overdue payment, fraud, material misuse or an unresolved privacy or security risk. Where practical, FiveStar will first notify the Merchant and allow a reasonable opportunity to correct the issue. Urgent security or unlawful use may justify immediate proportionate suspension.
12. Data export and retention
During service or within 30 days of closure, the Merchant may request a free standard export of its records, including available balances, history and consent status. FiveStar will supply it within 10 working days, subject to verifying authority, customer privacy rights and legal restrictions. A disputed bill alone cannot justify withholding an export.
Following closure and the export opportunity, FiveStar will delete unnecessary active data and allow protected backups to expire under its retention schedule, available on request. Necessary legal, transaction, security and suppression records remain protected. Confidentiality survives closure.
13. Platform rights, remedies and contact
FiveStar owns or licenses its platform software, reusable tools, design system, documentation and branding. The Merchant receives permission to use them while entitled to the service for its approved locations, and must not copy, resell, reverse engineer or provide platform access to another business.
FiveStar remains responsible for its failures. Nothing in this agreement removes statutory rights, privacy complaints or remedies that cannot lawfully be excluded. New Zealand law applies. The parties will first discuss disputes in good faith without restricting those remedies. Notices, cancellation requests and questions may be sent to hello@fivestargrowth.nz.
